PROGRAM DESCRIPTION

By signing up on our website you will receive a confirmation text with a description of how to use our SMS services. The following keywords are available for both OPT-IN confirmation and OPT-OUT if you decide to stop at any given moment:

USER OPT-IN

By signing up you agree to receive marketing text messages. We do not use an automatic telephone dialing system to generate, store, or deliver our text messages. Consent is not required to purchase goods or services.

USER OPT-OUT

You can cancel the SMS service at any time. Just text "STOP" to the number. When we receive a "STOP" message, we will send one final confirmation SMS to confirm your unsubscription, after which no more SMS messages will be sent.

For more information, just text "HELP" to the number. When we receive a "HELP" message, we will provide instructions on how to use this service and how to unsubscribe.

Welcome to RoseInsure.com. Rose Insure requires that you carefully read, understand, and agree to the following Terms and Conditions contained in this Terms of Use Agreement ("Agreement"). By accessing, browsing, or using this website, or any page thereof or services offered (collectively, "Website"), through any direct or indirect means, you accept and agree to be bound by these Terms of Use and Rose Insure's Privacy Policy (the "Privacy Policy"), which is incorporated herein by reference.

Rose Insure (RoseInsure.com) is a privately held for-profit entity owned and operated by Sentinel Holdings I LLC. RoseInsure.com has no affiliation or relationship (financial or otherwise) with any political party, government agency, or any other outside group or persons. Furthermore, RoseInsure.com is not affiliated with or endorsed by any federal or state government department or agency.

NATURE OF SERVICE

Rose Insure is an advertising and marketing service that connects consumers with insurance providers and licensed insurance agents. Rose Insure does not itself sell, underwrite, or provide insurance policies. Any insurance products or services you may receive as a result of using this Website are provided solely by independent, licensed insurance providers. Rose Insure makes no representations or guarantees regarding the availability, pricing, or suitability of any insurance product or service.

LICENSE

Subject to your compliance with the Terms of Use made available on the Website, Rose Insure grants to you a non-exclusive, non-sublicensable, revocable, non-transferable license to use the Website for your personal and non-commercial use.

CONSENT TO COMMUNICATION

By entering your personal information into this Website or by completing a request through this Website, you acknowledge that you are expressly granting your consent to receive communications regarding offers and/or products that Rose Insure reasonably believes may be of interest to you. In order to fulfill your request and deliver relevant insurance quotes, Rose Insure may transmit your information to its exclusive marketing fulfillment partner, Value Reactor, LLC, solely for the purpose of facilitating the delivery of communications you have consented to receive. Value Reactor, LLC operates under strict contractual obligations to process your data only as directed by Rose Insure and in accordance with this Agreement. Your personal information will not be sold, rented, leased, or otherwise disclosed to any unaffiliated third parties for independent marketing purposes.

You may opt-out of receiving such communications at any time by texting "STOP" to any SMS message from us. Consent to such communication is not a condition of purchase.

TCPA CONSENT & DISCLOSURE

You agree to defend, indemnify, and hold harmless Rose Insure, Sentinel Holdings I LLC, their officers, directors, employees, agents, affiliates, representatives, sub-licensees, successors, and assigns from and against any and all claims, actions, demands, causes of action, and other proceedings, including but not limited to legal costs and attorneys' fees, arising out of or resulting from your use of the Website, your violation of these Terms of Use, or your violation of any rights of a third party.

ARBITRATION AGREEMENT & CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Rose Insure agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or the use of the Website shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and not through a court proceeding. You and Rose Insure agree that:

• Any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action;
• You waive your right to participate in a class action lawsuit or class-wide arbitration;
• The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim;
• The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction;
• Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

If this arbitration provision is found to be unenforceable, the parties agree that any judicial proceedings will be conducted in the courts specified in the Governing Law section below.

MODIFICATIONS TO TERMS

Rose Insure reserves the right to modify, amend, or update these Terms of Use at any time, in its sole discretion. Any changes will be effective immediately upon posting to this Website. Your continued use of the Website following the posting of revised Terms of Use constitutes your acceptance of the changes. It is your responsibility to review these Terms of Use periodically for any updates or changes.

SEVERABILITY

If any provision of these Terms of Use is found by a court or other binding authority to be invalid, unenforceable, or illegal, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

ENTIRE AGREEMENT

These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and Rose Insure regarding your use of the Website and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Rose Insure with respect to the Website.

GOVERNING LAW

The Website and these Terms of Use will be construed, enforced, and governed in accordance with the laws of the State of Colorado, without regard to any conflict of law principles. The state or federal courts in Denver County, Colorado will have exclusive jurisdiction and venue over all controversies in connection with this Agreement.
